“poison ivy”

in september 2010, my harvard classmate “ayo adi” (“ayodola adiya”) invited me to “audition” in manhattan for her new talent agency “poison ivy”. so i drove into manhattan and played several songs on my acoustic guitar. i made the cut but i couldn’t afford the $250 “photography fee” to be featured on their website…

I, ______________________________________ (TALENT), hereby agree to engage Poison Ivy as my exclusive agency/management to direct, develop and advance my career as an artist. I hereby warrant that I do not now have a contract with any other agency/management, which are the subject of this agreement. Subject to my availability, you agree to use all reasonable efforts to assist me in exposure and getting gigs.

I understand and agree that I am not an employee of Poison Ivy. Rather, I am retaining you to perform services for me. I am responsible for all taxes owed upon my earnings and am not eligible for Unemployment from Poison Ivy’s account.

I agree to pay a one-time development fee of $210 which includes three training sessions at $20/each and a photoshoot which is $150. For any additional photoshoots that I request after the initial one, I agree to pay a service fee of $200.

I agree to pay you for your services a sum equal to 10 % of all gross compensation received in connection with all professional services which I render during the term of this agreement (The TERM of this agreement shall be ONE (1) YEAR from the date hereof October 10, 2010 and shall be renewed automatically for another one (1) year term on each October 10th thereafter.

I will pay the same to you thereafter for so long a time as I receive compensation on any such contracts, extensions, options or renewals of said contracts; and for so long as you remain licensed. It is expressly understood that to be entitled to continue to receive the payment of compensation on the aforementioned contracts, after the termination of this agreement, you shall remain obligated to serve me and perform obligations with respect to said employments or to extensions or renewals of said contracts or to any employment requiring my services on which such compensation is based.

Talent fees typically come to the agency/management. However, if I receive any monies directly from a client, I will immediately forward the check to Poison Ivy, and receive a check in return for the amount due me as talent.

If any clients or casting directors within the 75 mile radius contact me directly, I will immediately inform Poison Ivy. Poison Ivy will be the talent agency/management of record and be paid agency/management commissions as per this contract appropriately.

Subject to my availability, you hereby agree to use all reasonable efforts to grant me exposure in the field or fields of endeavor specified in the contract in which you represent me

You, Poison Ivy, has authority to demand, collect and receive in my name, any and all payments whether by cash, cheque or otherwise, to which I may become entitled; to make, execute and deliver receipts; to endorse, deposit and collect any cheque, note, draft or other instrument for the payment of monies that may be payable to my order, and to sign photographic releases and to do and perform any matter or thing whatsoever for and on behalf of me in my name, all in connection with my services covered by this agreement. The foregoing authority shall be irrevocable during the term of this agreement and any renewal hereof.

You, Poison Ivy, are hereby authorized to use my name, personality, portrait, voice and picture to advertise and publicize me in connection with your representation of me.

This agreement or any renewal thereof may be terminated at any time by either party upon ninety (90) days prior written notice to the other party. Such notice may be by personal delivery or by registered certified mail. If termination is made less than 90 days in advance, I agree to pay an early termination fee of $250.

You hereby agree to deliver to me an executed exact copy of this contract.

I agree that the laws of the province/state of New York shall govern interpretation and performance of this agreement.This agreement is deemed executed on the date both parties have signed below.

My mother agency/management for all purposes (including commission, availability, and representation) is:

i performed at a “cypher” (ebonics for “jam session”) in early december…

then i took emma to an “underwear + fur” party in brooklyn hosted by poison ivy…

nevertheless, i performed @ garfield’s on the 19th…

then in late january, i performed again @ garfield’s
(emma was “too sick” to show up…)

(of course the fucking footage of me was the only one that “wasn’t that good!”…)

by april 2011, i became totally disillusioned with poison ivy. after showing up hours late for a “battle of the bands”, i was scheduled to open the show. playing solo, i was not given sufficient time to set up my loops effects board. the 5-minute set was thoroughly lackluster (suffice to say i didn’t win)…

i performed “patricide”…
